Last updated: 1 September 2026
1. About These Terms
These Terms & Conditions govern your use of the Agency Scale System website and any digital products, training programs or services purchased from Uncommon Agency Ltd, trading as Agency Scale System / Uncommon Agency (“we”, “us”, “our”).
Additional terms may apply to particular services. Where you enter into a separate written service agreement with us, that agreement will govern your purchase and will take precedence over these website Terms where there is any conflict.
2. Our Programs
We provide business education, training, coaching and implementation support designed primarily for agency owners and operators. Depending on the product purchased, this may include:
- Online training materials
- Templates, frameworks and resources
- Group coaching or implementation calls
- Individual specialist or advisory calls
- Messaging support
- Other services described in the applicable offer or agreement
The exact services, access period and support included in your purchase will be specified at the point of sale or in your separate service agreement.
3. Educational and Business Information
Our content and programs are provided for educational and informational purposes. We do not guarantee any particular business outcome, revenue level, number of clients, close rate, profitability or financial result.
Results vary significantly depending on factors including your business, market, offer, implementation, experience, resources and effort. Testimonials, case studies and examples describe particular experiences and should not be interpreted as promises or guarantees of future performance. You remain responsible for your own business decisions and implementation.
4. Purchases and Payment
Prices and payment terms will be communicated before purchase and may vary between products or services. Where you purchase an implementation program, your individual agreement may contain additional provisions concerning fees, payment dates, cancellation and termination.
You agree to provide accurate billing information and pay all amounts due in accordance with the applicable agreement or checkout terms.
5. Course and Platform Access
Where your purchase includes access to online training, you will receive access for the period associated with your purchase. Your login is personal to you and must not be:
- Shared with another person
- Resold
- Distributed
- Used to provide unauthorised access to our materials
We may suspend or terminate access where we reasonably believe an account is being shared, misused or used in breach of these Terms.
6. Intellectual Property
All course materials, videos, frameworks, templates, documents, systems, methodologies, graphics and other materials provided by us remain our intellectual property or that of our licensors.
Your purchase grants you a limited, non-exclusive, non-transferable licence to use those materials for your own internal business purposes. Unless we provide written permission, you may not:
- Copy or reproduce our materials for commercial distribution
- Resell or sublicense them
- Publish them publicly
- Upload them to another course, membership or knowledge base
- Share them with people who have not purchased access
- Represent our intellectual property as your own
You may apply the concepts, strategies and frameworks within your own business.
7. Coaching and Support
Where coaching, specialist support, group calls, individual calls or messaging support are included, the scope and duration of that support will be described in your offer or service agreement.
Unused calls or support do not automatically extend the term of your program unless agreed otherwise in writing. We may occasionally change individual coaches, specialists or personnel where reasonably necessary while continuing to provide substantially equivalent support.
8. Acceptable Conduct
You agree not to use our website, platform, community, calls or communications:
- Unlawfully
- To harass or abuse others
- To distribute malicious software
- To attempt unauthorised access to systems or accounts
- To infringe our or another person’s intellectual property
- In a manner that materially disrupts the experience of other participants
We reserve the right to take reasonable action where serious or repeated breaches occur.
9. Cancellation and Refunds
Any cancellation, refund or termination rights applicable to a paid implementation program will be governed by your individual service agreement and applicable law.
For digital or course-only purchases, the terms presented at checkout will apply, subject always to any statutory rights that cannot legally be excluded or limited. Nothing in these Terms is intended to remove any mandatory consumer rights that apply to you.
10. Third-Party Services
Our programs may reference or integrate with third-party tools and platforms. We are not responsible for the continued availability, functionality, pricing or terms of third-party services. Your use of those services may be governed by separate agreements between you and the relevant provider.
11. Limitation of Liability
Nothing in these Terms excludes or limits liability where it would be unlawful to do so. Subject to that restriction and to the fullest extent permitted by law, we will not be liable for indirect or consequential losses arising from your use of our website, training or services, including loss of profits, revenue, business opportunities, anticipated savings or goodwill.
Any additional limitations applying to implementation or advisory services may be set out in your individual service agreement.
12. Changes to Our Services
We may reasonably update, improve or modify our website, course materials, platform or delivery methods from time to time. Where you have purchased a fixed service package, we will not intentionally make changes that materially reduce the overall service you purchased without reasonable justification.
13. Governing Law
These Terms and any dispute or claim arising from them are governed by the laws of England and Wales, unless applicable mandatory law requires otherwise. The courts of England and Wales will have jurisdiction, subject to any rights you may have under mandatory applicable law.
